Terms of Service for Goodknight Arts LLC Applications

1. Acceptance of Terms

By downloading, installing, or using any mobile application ("App") created by Goodknight Arts LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Changes to Terms

We may modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms. Your continued use of the App after the changes are posted will signify your acceptance of the revised Terms. We encourage you to review these Terms periodically.

3. Use of the App

3.1 Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you meet this age requirement.

Interfere with or disrupt the operation of the App.

You agree to provide accurate and complete information when creating an account and to keep this information up-to-date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6. Intellectual Property

All content and materials available on the App, including but not limited to text, graphics, website name, code, images, and logos, are the intellectual property of Goodknight Arts LLC and are protected by applicable copyright and trademark law. You agree not to reproduce, distribute, or create derivative works from any content or materials on the App without our prior written permission.

7. Third-Party Services

The App may contain links to third-party websites or services that are not owned or controlled by Goodknight Arts LLC. We are not responsible for the content or practices of any third-party websites or services. You acknowledge and agree that Goodknight Arts LLC is not liable for any damage or loss caused by your use of any third-party websites or services.

8. Termination

We may terminate or suspend your access to the App at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease.

9. Disclaimers

The App is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the App, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free from viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, Goodknight Arts LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the App; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the App; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App.

11. Indemnification

You agree to indemnify, defend, and hold harmless Goodknight Arts LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the App or your violation of these Terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the courts located in Escambia County, Florida, for the purpose of litigating all such claims or disputes.

13. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. These Terms constitute the entire agreement between you and Goodknight Arts LLC regarding the App and supersede and replace any prior agreements we might have had regarding the App.
